Overview and parties

This Video Submission and Exclusive Licensing Agreement (“Agreement”) is between the person identified in the submission form (“Creator”, “you”) and the legal entity operating the AMZ Legacy video licensing program (“AMZ”, “we”). By submitting and electronically signing, you agree to the evaluation provisions immediately. The exclusive commercial license begins only when AMZ sends you written notice that the video has been accepted.

Eligibility and authority

You confirm that you are at least 18 years old, have legal capacity to enter a binding agreement, provide accurate contact and payment information, and act for yourself or have written authority to bind the copyright owner. AMZ may request identity, ownership, model, location, or guardian documentation before acceptance or payment.

30-day evaluation license

From submission, you grant AMZ a limited, non-exclusive, worldwide, royalty-free license for up to 30 days to securely store, copy, transcode, internally display, and evaluate the submitted video and accompanying material. AMZ may contact potential internal reviewers but may not commercially publish or sublicense the video under this evaluation license. If AMZ declines or does not accept within 30 days, no exclusive license begins and rejected upload files will ordinarily be deleted within 90 days, subject to security, dispute, and legal preservation needs.

Exclusive commercial license after acceptance

Once AMZ sends written acceptance, you grant AMZ and its affiliates, successors, licensees, and assigns an exclusive, worldwide, transferable and sublicensable license during the Term to host, copy, edit, crop, caption, translate, adapt, combine, synchronize, reproduce, distribute, publicly perform, display, advertise, promote, monetize, enforce, and otherwise commercially exploit the accepted video, its audio, frames, title, description, and approved likenesses in all media and technologies now known or later developed.

You retain copyright ownership. Exclusivity means neither you nor another party may commercially license, sell, monetize, authorize, rights-manage, or distribute the accepted video in conflict with AMZ during the Term. Personal posts that existed before acceptance may remain online unless AMZ reasonably requests a licensing contact notice or other action needed to manage conflicting claims. AMZ may create edits and derivative versions, but will not intentionally misrepresent the event or use the material unlawfully.

Revenue share, reporting, and payment

For an accepted video, AMZ will credit the Creator with 50% of Net Revenue actually and irrevocably received by AMZ and directly attributable to third-party licensing, platform monetization, syndication, or commercial exploitation of that video.

“Net Revenue” means gross cash actually received by AMZ, less refunds, chargebacks, sales or withholding taxes, payment-processing charges, platform/agency commissions, and reasonable direct third-party costs of licensing, delivery, collection, or rights enforcement attributable to the video. General company overhead is not deducted unless separately disclosed and accepted in writing.

AMZ will calculate revenue quarterly. Amounts below VND 1,000,000 may roll forward until the threshold is reached; rolled amounts do not expire solely because the threshold has not yet been met. Payment requires complete identity, tax, and payment details. AMZ promotional use, internal evaluation, unsold pitches, and unpaid editorial exposure do not generate Revenue Share. No revenue, minimum payment, publication, or commercial success is guaranteed.

Your representations and promises

You represent and warrant that: (a) you created or own/control all necessary rights; (b) the video is original and not copied, scraped, or downloaded from another account; (c) no conflicting exclusive license, assignment, lien, or rights-management claim exists; (d) all music, artwork, trademarks, locations, performances, and third-party materials are owned, licensed, incidental, or otherwise legally usable; (e) all information you provide is accurate; and (f) the video and its creation do not violate law or third-party copyright, privacy, publicity, property, contract, or other rights.

You must promptly disclose any dispute, prior license, platform claim, or ownership challenge. AMZ may suspend monetization and hold disputed revenue while a good-faith rights dispute is investigated.

People, privacy, and minors

You confirm you have informed consent from every identifiable person whose permission is legally required for commercial use. When anyone under 18 appears, you confirm you are their parent/legal guardian or hold verifiable written permission from the parent/legal guardian. AMZ may require a separate model or guardian release before acceptance.

Do not submit content that invades private life, exposes sensitive personal data, depicts a child in a humiliating or exploitative context, or conflicts with the child’s best interests. A guardian’s permission does not require AMZ to accept or publish a video.

Safety and prohibited content

You must not stage, encourage, or prolong dangerous conduct to create content. AMZ may reject content involving serious or graphic injury, abuse, neglect, bullying, humiliation, sexual content, hate, self-harm, animal cruelty, illegal acts, medical emergencies, intimate/private settings, or conduct that could reasonably endanger or exploit a person — especially a child. You confirm that any “fail” submitted was an authentic event and that appropriate care was provided where needed.

Rights management and enforcement

During the exclusive Term, AMZ may register reference files, issue platform claims or takedown notices, negotiate retroactive licenses, settle ordinary usage disputes, and authorize third parties. AMZ will act in good faith and maintain a channel for legitimate disputes. Creator Revenue Share applies to Net Revenue from ordinary licenses and attributable monetization; treatment of litigation awards, statutory damages, legal-cost recoveries, or settlements beyond a fair-market license fee must be agreed separately in writing.

Personal data and file security

AMZ processes identification, contact, signature, consent evidence, payment/tax information, upload metadata, device/security logs, and submitted content to review rights, communicate, prevent fraud, license content, account for revenue, make payments, resolve disputes, and meet legal obligations. Access is limited to authorized staff and service providers with a need to know.

Uploaded originals are stored privately and are not intentionally exposed through the public Media Library. Rejected submission files are ordinarily deleted within 90 days. Accepted materials and transaction records may be retained for the Agreement term and a reasonable period afterward for accounting, rights history, fraud prevention, and legal compliance. Cross-border platforms and licensees may process published content worldwide. Contact AMZ to request access, correction, or deletion where applicable; some records may be retained when legally necessary.

Term, renewal, and termination

The exclusive license starts on written acceptance and continues for five years. It automatically renews for successive one-year periods unless either party gives at least 30 days’ written notice before the current period ends. If AMZ has not made any bona fide commercial use or earned any attributable revenue for 12 consecutive months after acceptance, you may request early termination; AMZ will respond in good faith within 30 days.

Termination does not undo sublicenses already granted, uses already published, accrued payment/accounting duties, or reasonable archival and evidentiary retention. AMZ may immediately suspend or terminate for material breach, fraudulent ownership claims, unsafe content, or legal risk.
